1. Acceptance of Terms
By accessing VedicDevs's website (www.vedicdevs.com), submitting a contact form, downloading our brochure, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these terms, please do not use our website or services.
2. Services Offered
VedicDevs provides professional digital services including but not limited to:
- Custom website design and development
- E-commerce store development
- Mobile application development (Android & iOS)
- Web portal and dashboard development
- UI/UX design and branding
- SEO and digital marketing
- Website maintenance and technical support (AMC)
- Hosting and domain services (where offered as part of a package)
The specific scope, deliverables, timelines, and pricing for each project are defined in a separate written agreement, proposal, or invoice provided to the client prior to commencement of work.
3. Project Engagement & Agreements
All projects begin with a formal agreement process:
- Client submits requirements via the contact form, WhatsApp, or email.
- VedicDevs provides a detailed project proposal outlining scope, deliverables, timeline, and cost.
- The project commences only after the client confirms acceptance of the proposal and pays the required advance payment.
- Any verbal discussions do not constitute a binding agreement. Only written confirmations (email, message, or signed document) are binding.
4. Payment Terms
Payment Schedule
- Advance (50%): Required before project commencement. Work begins only after advance is received.
- Milestone payments: As agreed in the project proposal for larger projects.
- Final payment (remaining balance): Due before final delivery, deployment, or handover of files.
Payment Methods
We accept bank transfers (NEFT/IMPS/UPI), and other payment methods as agreed. All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise.
Late Payments
Project work may be paused if payments are overdue by more than 7 days. VedicDevs reserves the right to withhold final deliverables until full payment is received.
Refund Policy
Advance payments are non-refundable once work has commenced. If VedicDevs is unable to deliver as agreed, a proportional refund will be issued based on work completed. Completed and delivered milestones are non-refundable.
5. Intellectual Property
Upon full payment
Upon receipt of full and final payment, the client receives full ownership of the custom code, design assets, and content created specifically for their project.
Third-party components
Projects may include open-source libraries, frameworks, stock images, fonts, and other third-party components that remain subject to their respective licenses. VedicDevs will disclose any such dependencies.
VedicDevs portfolio rights
VedicDevs reserves the right to showcase completed projects in its portfolio, case studies, social media, and marketing materials unless the client expressly requests confidentiality in writing.
Pre-payment
All code, designs, and materials created by VedicDevs remain the intellectual property of VedicDevs until full payment is received.
6. Client Responsibilities
To ensure smooth project delivery, clients agree to:
- Provide all required content (text, images, logos, videos) by agreed deadlines.
- Respond to queries and feedback requests within a reasonable time (typically 48 business hours).
- Provide accurate and complete information needed to perform the services.
- Ensure they have the legal right to use any third-party content (images, trademarks, etc.) they provide to us.
- Designate a single point of contact for project communications to avoid conflicting instructions.
Delays caused by the client (late content, delayed approvals, or unavailability) may result in revised timelines and additional charges.
7. Revisions & Scope Changes
Each project proposal specifies the number of revision rounds included. Standard packages typically include 2–3 rounds of revisions.
- A "revision" means refining existing scope — not adding new features or pages.
- Additional revisions beyond what's agreed will be charged at our standard hourly rate.
- Scope changes (new features, additional pages, different technology) require a separate written change request and may affect timelines and costs.
8. Delivery & Timelines
VedicDevs provides estimated timelines in the project proposal. Timelines are estimates and may be affected by:
- Delayed or incomplete content from the client
- Scope changes requested mid-project
- Third-party delays (domain registrars, payment gateways, hosting providers)
- Force majeure events (natural disasters, internet outages, etc.)
VedicDevs will communicate any delays promptly and work to minimise impact on project delivery.
9. Warranties & Disclaimers
VedicDevs warrants that:
- All work delivered is original or properly licensed.
- The website will function as specified and be compatible with major modern browsers at the time of delivery.
- Any bugs discovered within 30 days of project delivery will be fixed at no charge, provided they are within the original scope.
VedicDevs does not warrant that the website will:
- Achieve specific business outcomes, rankings, or revenue targets.
- Be free from all errors indefinitely after the 30-day warranty period.
- Be compatible with future browser versions or operating system updates.
The website is provided "as delivered" after acceptance by the client.
10. Limitation of Liability
To the maximum extent permitted by applicable law, VedicDevs shall not be liable for:
- Loss of business, revenue, or profits resulting from use or inability to use our services.
- Data loss or corruption due to server issues, hacking, or client-side issues.
- Damages arising from client-provided content that infringes third-party rights.
- Service interruptions caused by third-party providers (hosting, domain, APIs).
Our total liability in any matter is limited to the amount paid by the client for the specific service in question.
11. Termination
Either party may terminate a project agreement with written notice if:
- The other party materially breaches the agreement and fails to resolve it within 14 days of written notice.
- The client decides not to proceed (client-initiated termination).
In case of client-initiated termination:
- All work completed to date will be invoiced and must be paid.
- Advance payments are non-refundable once work has commenced.
- VedicDevs will deliver all completed work assets upon receipt of final payment.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India, with exclusive jurisdiction in the courts of West Bengal, India. Any disputes shall first be attempted to be resolved through amicable negotiation. If unresolved, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996 of India.
